"TV Big Shot"
OFFICIAL RULES1. NO PURCHASE NECESSARY TO ENTER CONTEST. VOID WHERE PROHIBITED. OPEN ONLY TO LEGAL RESIDENTS PHYSICALLY RESIDING IN THE 50 UNITED STATES AND DC (EXCLUDING GUAM, PUERTO RICO AND US MILITARY INSTALLATIONS AND TERRITORIES). MUST BE 18 YEARS OF AGE OR OLDER AS OF THE DATE OF ENTRY.
2. GENERAL/TIMING:
The TVBigshot Challenge (the "Competition") begins at 8:00am Eastern Time ("ET") on September 17, 2007 and ends on or about (11:59pm) ET on June 1, 2008 (the "Competition Period"). The rules detailing how and when to play are posted on www.tv.bigshot.com. The Competition is sponsored by Bravo Company and NBC Universal, Inc. (collectively "NBCU" or "Sponsor").
3. HOW TO ENTER:
There is no entry fee to enter the Competition. To enter the Competition, during the Competition Period, you must register at www.tvbigshot.com (the "Website"). You will be asked to fill in and submit the registration information including your name, phone number, email, zip code, birth date and other information. You might also be asked if you wish to receive promotional materials and Competition reminders from Sponsor. Your consent to receive these materials is optional. Even if you consent, you may subsequently unsubscribe by clicking on the "unsubscribe" link in any promotional materials you receive.
4. ELIGIBILITY:Entrants must be legal permanent residents of and must physically reside in one of the 50 United States and must be 18 years of age or older and the age of majority in your state of residence as of the date of entry. Void in Puerto Rico, the U.S. Virgin Islands, Guam, and U.S. Military installations in foreign countries, anywhere outside of the 50 United States and where prohibited by law. Employees of NBCU, Bravo Media, Inc., General Electric Company, and/or of each of their respective parent companies, subsidiaries and affiliates, and of their respective distributors, suppliers, participating vendors, promotion or advertising agencies, or of any other company or person involved with the design, production, execution or distribution of the Competition (collectively, the "Competition Entities") and the immediate family members (parent, child, spouse, sibling and their respective spouses, regardless of where they reside) and household members (whether related or not) of such employees are not eligible to enter.
5. HOW TO PLAY:
A. General:
The Competition is a fantasy based game where entrants create, name and manage their own television network (each, a "TVBigshot Network") by choosing television Shows (each "Show" and collectively "Shows") from a pool of Sponsor designated Shows from various television networks (the "Pool").
Each entrant will receive fantasy points ("Fantasy Points") based upon criteria detailed below. Entrants will be ranked (as compared to other entrants) for the cumulative Fantasy Points they receive each month of the Competition Period (each, a "Monthly Competition") and the cumulative Fantasy Points they receive for the overall Competition Period (the "Grand Prize Competition").
6. CREATION OF A FANTASY BIG SHOT NETWORK
A. General:
Entrants will use the Website to select their TVBigshot Network. The Website will take entrants through a series of pages where they can register (as described above) in order to participate in the Competition. Entrants will also have the option (but not the obligation) to submit their own original TVBigshot Network description and slogan and their own original photo to represent their TVBigshot Network profile. Any entrant's description and slogan (if any) for their TVBigshot Network cannot be the name or slogan of any existing television network or other entity.
B. "Buying" and "Selling" Shows from the Pool
Once an entrant has registered, they will receive an account of $300 Million TVBigshot Bucks (an entrant's "Account") to buy Shows from those in the Pool in order to create their TVBigshot Network. Entrants may subsequently buy and sell Shows using their TVBigshot Bucks in their Account. Selling a Show will incur a penalty fee of one million (1,000,000) TVBigshot Bucks deducted from the entrant's Account (see below).
The Pool may change at any point during the Competition Period as Sponsor adds, removes, or changes the status of (see below) Shows based upon changes in the broadcast networks' television schedules during the Competition Period. Shows included in the Pool by Sponsor will be chosen from new and returning series on the five major broadcast networks (i.e., ABC, CBS, FOX, NBC, and CW. News, sports, specials and movies will not be designated as Shows included in the Pool.
Each Show in the Pool will be assigned by Sponsor, in its sole discretion, one of the status designations listed below. Each Show's status designation will determine whether, and at what point, the Show can be bought and/or sold during the Competition Period by entrants.
Active: The Show is part of the broadcast network's regular schedule and airs new or repeat episodes in a regularly scheduled timeslot (as determined solely by Sponsor) with relative consistency. Shows with a status of "Active" can be bought or sold at any time.
Hiatus: The Show is not currently part of the broadcast network's regular schedule, but the broadcast network has announced a return date for regular episodes. Shows with a status of "Hiatus" can be sold at any time but cannot be bought unless their status is changed to Active.
Limbo: The Show is not currently part of the broadcast network's regular schedule, and the broadcast network has not set a return date for regular episodes. Shows with a status of "Limbo" cannot be bought or sold until the status changes to "Active" or "Hiatus." Furthermore, the last recorded value of a Show with a "Limbo" status is frozen in any TVBigshot Network that owns that Show from the time the Show is designated by Sponsor as having a status of Limbo until the status of the Show changes to Active or Hiatus.
Cancelled: TVBigshot Networks that own a Show that has been designated as "Cancelled" will have that Show removed from their TVBigshot Network and the money invested in the cancelled Show is forfeited.
Coming Soon: The Show is in the system, but has not aired yet and is not currently available for purchase. Check the Pool on the Website regularly to see when the status of a Show has been changed from Coming Soon to a status that would allow its purchase.
The purchase or sale of a Show in any entrant's Big Shot Network is reflected in the game immediately but is not effective until the beginning of the following Week of the Competition Period. For purposes of registering a purchase or sale of a Show, a Week during the Competition Period begins on [Mon @12:01am] and ends on [Sunday @11:59pm].
C. Value of Shows Purchased and Sold
Each Show in the Pool will be valued/priced in TVBigshot Bucks as solely determined by Sponsor, and the value/price of any Show when it is bought or sold will be the value/price listed in the Pool as of the time of purchase or sale. The Sponsor generated price/value of a Show as listed in the Pool is derived from the Nielson Weekly Household (HH) Ratings ("Ratings") number for the Show, rounded to the nearest decimal and multiplied by $10 million.
At the start of the Competition Period, (i) Shows that are in their second or higher season will initially be priced/valued based upon the average Ratings the Show received in the 2006-2007 season and (ii) Shows that are in their first season will initially be priced/valued based upon the average Ratings for all episodes of all new series on the same network during the 2006-07 television season.
After the start of the Competition Period, the price/value of a Show will be updated as soon as the HH Ratings for the previous week are made available, and the price/value of a Show each Week will be based solely on Ratings for the most recent airing of a first-run episode of the Show airing in its regularly scheduled timeslot. (Unlike the basis for awarding Fantasy Points (see below), the Ratings for a rerun of a Show (even if it airs in its regularly scheduled timeslot and even if it is the most recent airing of the Show) do not affect the price/value of a Show in the Pool.) As a Show's Ratings increase or decrease from Week to Week, the price/value of the Show, as listed in the Pool, increases or decreases accordingly. For Shows that have multiple airings of first-run episodes in regularly scheduled timeslots within one Week (e.g., American Idol), the price/value of the Show for that Week will be determined by averaging the Ratings across all such airings of first-run episodes of the Show in regularly scheduled timeslots within that Week and multiplying the average by $10 million.
7. FANTASY POINTS SCORING
An entrant's primary means of earning Fantasy Points is based upon how the Shows in their TVBigshot Network perform in the Ratings. Fantasy Points earned based on the Ratings are derived from the Ratings number for the Show each Week, rounded to the nearest tenth of a point and multiplied by ten (e.g. a Rating of 7.1 = 71 points).
- Entrants only earn Fantasy Points for Shows airing in their regularly scheduled timeslot. Show reruns airing in the Show's regularly scheduled timeslot do earn Fantasy Points in the same manner that first-run airings of Shows do. (The price/value of a Show, however, is not affected by the Ratings for reruns airing in regularly scheduled timeslots, as described above.) All determinations regarding what does and does not constitute a Show's regularly scheduled timeslot (and what constitutes a first-run or a rerun) will be made solely and exclusively by Sponsor.
- For Shows that have multiple airings of first-run or rerun episodes in regularly scheduled timeslots within one Week (e.g., American Idol), the Fantasy Points awarded for such Shows will be determined and awarded by averaging the Ratings for the Show across all such airings in the Show's regularly scheduled timeslot(s) of first-run or re-run episodes of the Show in that Week. For example, if in the first regularly scheduled timeslot in a given Week an airing of Show X gets a Rating of 7.0 and in the second (and final) regularly scheduled timeslot in the same Week an airing of Show X gets a Rating of 8.0, the Ratings for Show X for that Week will be averaged to a Rating of 7.5, which translates to 75 Fantasy Points awarded to entrants who have that Show in their TVBigshot Network in that Week.
- Show reruns that do not air in a regularly scheduled timeslot for the Show will not earn Fantasy Points.
Fantasy "Bonus Points" will also be awarded to entrants based on the Ratings at the end of each Week based upon the following:
- Winning the Timeslot: If a Show receives the highest Rating in the timeslot that it airs (the "Timeslot"), the Fantasy Points awarded for that Show based upon its Ratings will be increased by an additional five (5) Bonus Points. If a program that is not part of the TVBigshot game (such as a sporting event or an awards special) wins its Timeslot, no Show that is part of the TVBigshot game will be awarded Fantasy Points for that Timeslot in that case. Timeslots are defined as hour long blocks of programming, starting on the hour and ending on the hour in primetime. Half-hour Shows are eligible to win the Timeslot if that Show gets the highest Rating in the hour long block that it runs.
- Top 5 Rankings: If a Show finishes a Week as one of the five (5) Shows with the highest overall Ratings total for that Week (as determined solely by Sponsor), the Fantasy Points awarded for that Show based upon its Ratings will be increased by an additional five (5) Bonus Points.
- Magazine Covers: If during any given Week any regularly credited cast member of a Show appears in a photo anywhere on the cover of the subscription copy of TV Guide, Entertainment Weekly, People, US Weekly, Time or Newsweek (the "Bonus Points Magazines"), the Fantasy Points awarded for that Show based upon its Ratings will be increased by an additional twenty (20) Bonus Points. All determinations as to what constitutes an appearance by a regularly credited cast member of a Show in a photo on the cover of any Bonus Points Magazine during any given Week will be made solely by Sponsor.
- Ratings Growth: For every tenth of a Ratings point increase that a Show earns in any given Week over its airing in its prior regularly scheduled timeslot in the most recent original episode (not re-run), the Fantasy Points awarded for that Show based upon its Ratings will be increased by an additional five (5) Bonus Points. For the premiere episode of a returning Show (meaning a Show that previously aired in the 2006-07 season), the Ratings point increase (if any) will be measured against the Show's average Ratings from the 2006-07 season. For the premiere episode of a new Show, the growth will be measured against the average Rating for all episodes of all new Shows on the same network during the 2006-07 season.
- Golden Globe Winners: For any Show in a player's roster, a Golden Globe winner for that Show in any one (1) of the following categories of Best Actress in a Drama, Best Actor in a Drama, Best Actress in a Musical or Comedy, Best Actor in a Musical or Comedy, Best Series, Drama or Best Series, Comedy or Musical, will be awarded twenty (20) Bonus Points.
All Fantasy Points and Bonus Points calculations and awards will be made solely and exclusively by Sponsor, and all decisions of Sponsor regarding the award of Fantasy Points and Bonus Points to any and all entrants shall be final and binding and are not subject to appeal.
8. WINNER SELECTION
The Competition consists of eight (8) separate Monthly Competitions conducted during each of the eight (8) months comprising the Competition Period and one (1) Grand Prize Competition.
A. Monthly Winners
Each Monthly Competition will consist of a competition period (a "Monthly Competition Period") that will begin and end, during the Competition Period, on the dates and times listed in the chart below.

Each winner of a Monthly Competition (a "Monthly Winner") will be determined based upon the number of Fantasy Points each entrant has accumulated throughout the corresponding Monthly Competition Period (an entrant's "Monthly Competition Score"). At the end of each Monthly Competition Period, the entrant with highest Monthly Competition Score (for that Monthly Competition) will be designated as a potential Monthly Winner. For purposes of the Monthly Competitions and designating Monthly Winners, each entrant is deemed to have the same number of Fantasy Points as of the beginning of each Monthly Competition Period (i.e., zero Fantasy Points), regardless of how many Fantasy Points they may have accumulated throughout the entire Competition Period up to and as of the beginning of any given Monthly Competition Period. All winning scores are subject to verification by Sponsor, whose decisions are final and in its sole discretion.
B. Grand Prize Winner
The winner of the overall Competition (the "Grand Prize Winner") will be determined based upon the number of Fantasy Points each entrant has accumulated throughout the entire Competition Period (an entrant's "Competition Score"). At the end of the Competition Period, the entrant with highest Competition Score will be designated as the potential Grand Prize Winner. All winning scores are subject to verification by Sponsor, whose decisions are final and in its sole discretion.
C. Tiebreaker Procedures
If there is a tie between two (2) or more entrants as of the conclusion of either a Monthly Competition Period or as of the conclusion of the overall Competition Period, the series of tiebreakers described below will be employed.
Monthly Competition tiebreaker procedures: First, in the event of a tie between two (2) or more entrants at the conclusion of any Monthly Competition, Sponsor will attempt to break that tie by determining whether (among those tied entrants) a single entrant has the highest Fantasy Points total in the following categories (the "Monthly Tie-Breaker Categories") in the following order (the "Monthly Tie-Breaker Categories Order") and, if so (at any point during the process), he/she will designated as the potential Monthly Winner: (1) total Bonus Points each entrant accumulated during the Monthly Competition Period for Winning the Night; (2) total Bonus Points each entrant accumulated during the Monthly Competition Period for Top 5 Rankings; (3) total Bonus Points each entrant accumulated during the Monthly Competition Period for Magazine Covers; (4) total Bonus Points each entrant accumulated during the Monthly Competition Period for Ratings Growth; (5) the Fantasy Points each entrant accumulated during the Monthly Competition Period only for first-run airings of Shows aired in their regularly scheduled timeslots; (6) the Fantasy Points each entrant accumulated during the Monthly Competition Period only for re-run airings of Shows aired in their regularly scheduled timeslots; and (7) the Fantasy Points each entrant accumulated during the Monthly Competition Period only for Shows that had multiple airings of first-run or rerun episodes in their regularly scheduled timeslots within one Week.
If there remains a tie among two (2) or more entrants in a Monthly Competition after the foregoing steps have been taken, then the total Fantasy Points each entrant accumulated in the previous Monthly Competition Period will be compared (i.e., if two (2) or more tied entrants owned a TVBigshot Network as of the end of such previous Monthly Competition Period) to see if a sole winner can be determined based upon the entrant with the highest Fantasy Points total in such previous Monthly Competition Period. If no winner can be determined because there remains a tie, then Sponsor will attempt to break that tie by determining whether (among the tied entrants) a single entrant has the highest Fantasy Points total in the above-described Monthly Tie-Breaker Categories using the above-described Monthly Tie-Breaker Categories Order for the same previous Monthly Competition Period and, if so (at any point during the process), he/she will designated as the potential Monthly Winner. If only one (1) of the tied entrants owned a TVBigshot Network as of the end of such previous Monthly Competition Period, then the foregoing process will automatically result in that entrant being declared the potential Monthly Winner from among all of the tied entrants.
If there is still a tie among two (2) or more entrants after the foregoing steps have been taken, then the same steps will be repeated with respect to each previous Monthly Competition Period until either the tie is broken or a Monthly Competition Period is reached in which only one (1) of the tied entrants owned a TVBigshot Network at the end of the applicable Monthly Competition Period (thus automatically resulting in that entrant being declared the applicable Monthly Winner).
If there are still two (2) or more entrants tied after the above steps are taken, the entrant who created a valid TVBigshot Network first in the Competition from among all of the tied entrants will be designated as the Monthly Winner. The time of that a TVBigshot Network is created is the time (Eastern Time) when an entrant first owns at least five (5) Shows in his/her TVBigshot Network.
If there is still a tie, Sponsor will contact the tied entrants with a special tiebreaker trivia question that will be selected by Sponsor in its sole discretion.
Overall Competition tiebreaker procedures: First, in the event of a tie between two (2) or more entrants at the conclusion of the Competition, Sponsor will attempt to break that tie by determining whether (among those tied entrants) a single entrant has the highest Fantasy Points total for the entire Competition Period in the following categories (the "Competition Tie-Breaker Categories") in the following order (the "Competition Tie-Breaker Categories Order") and, if so (at any point during the process), he/she will designated as the potential Grand Prize Winner: (1) total Bonus Points each entrant accumulated during the Competition Period for Winning the Night; (2) total Bonus Points each entrant accumulated during the Competition Period for Top 5 Rankings; (3) total Bonus Points each entrant accumulated during the Competition Period for Magazine Covers; (4) total Bonus Points each entrant accumulated during the Competition Period for Ratings Growth; (5) the Fantasy Points each entrant accumulated during the Competition Period only for first-run airings of Shows aired in their regularly scheduled timeslots; (6) the Fantasy Points each entrant accumulated during the Competition Period only for re-run airings of Shows aired in their regularly scheduled timeslots; and (7) the Fantasy Points each entrant accumulated during the Competition Period only for Shows that had multiple airings of first-run or rerun episodes in their regularly scheduled timeslots within one Week.
If there remains a tie among two (2) or more entrants in the Competition after the foregoing steps have been taken, then the total Fantasy Points each entrant accumulated in the most recent Monthly Competition Period will be compared (i.e., if two (2) or more tied entrants owned a TVBigshot Network as of the end of such previous Monthly Competition Period) to see if a sole winner can be determined based upon the entrant with the highest Fantasy Points total in such most recent Monthly Competition Period. If no winner can be determined because there remains a tie, then Sponsor will attempt to break that tie by determining whether (among the tied entrants) a single entrant has the highest Fantasy Points total in the above-described Competition Tie-Breaker Categories using the above-described Competition Tie-Breaker Categories Order for the same most recent Monthly Competition Period and, if so (at any point during the process), he/she will designated as the potential Monthly Winner. If only one (1) of the tied entrants owned a TVBigshot Network as of the end of such most recent Monthly Competition Period, then the foregoing process will automatically result in that entrant being declared the potential Grand Prize Winner from among all of the tied entrants.
If there is still a tie among two (2) or more entrants after the foregoing steps have been taken, then the same steps will be repeated with respect to each previous Monthly Competition Period until either the tie is broken or a Monthly Competition Period is reached in which only one (1) of the tied entrants owned a TVBigshot Network at the end of the applicable Monthly Competition Period (thus automatically resulting in that entrant being declared the applicable Grand Prize Winner).
If there are still two (2) or more entrants tied after the above steps are taken, the entrant who created a valid TVBigshot Network first in the Competition from among all of the tied entrants will be designated as the Grand Prize Winner. The time of that a TVBigshot Network is created is the time (Eastern Time) when an entrant first owns at least five (5) Shows in his/her TVBigshot Network.
If there is still a tie, Sponsor will contact the tied entrants with a special tiebreaker trivia question that will be selected by Sponsor in its sole discretion.
D. Winner Notification
Sponsor will make two (2) attempts to contact potential winners at the phone number or e-mail address provided at time of entry. If Sponsor is unable to reach a potential winner via phone or email after two (2) attempts, he/she may be disqualified and an alternate may be selected. Potential winners may be required to complete, sign, have notarized and return an Affidavit of Eligibility and Liability Release ("Affidavit and Release") and Publicity Release (where legal) within five (5) days of date of attempted delivery. Noncompliance within this time period, with these Official Rules or the return of or inability to deliver any prize/prize notification may result in disqualification and/or forfeiture of any prize and, at Sponsor's discretion, and time permitting, an alternate potential winner may be selected.
9. PRIZES
Sponsor will award to Monthly Winner one (1) Monthly Prize consisting of a video ipod, or a prize of equal or greater value. Approximate Retail Value ("ARV") of each Monthly Prize is $250. Sponsor will also award to the Grand Prize Winner one (1) Grand Prize consisting of 100,000.00. The ARV of the Grand Prize is $100,000.00. Entrants selected as a Monthly Winner or as the Grand Prize Winner must comply with all terms and conditions of these Official Rules and designation as a Monthly Winner or as the Grand Prize Winner is contingent upon fulfilling all requirements. Monthly Winners and the Grand Prize Winner are each solely responsible for all expenses and costs associated with acceptance and/or use of any prize including, without limitation, any and all federal, state and local taxes. Total ARV of all prizes: $102,000.00. The value of each prize represents the Sponsor's good faith determination of the maximum retail value thereof. For Form 1099 reporting purposes, each winner shall be bound by such good faith determination. Grand Prize will be awarded in the form of a check and Sponsor may take approximately ninety (90) days or more to process the check. Sponsor shall have the right, but not the obligation, to make any deductions and withholdings that Sponsor deems necessary or desirable under applicable federal, state and local tax laws, rules, regulations, codes or ordinances. No transfer, substitution or cash redemption will be awarded in lieu of stated prize except by Sponsor who reserves the right to substitute a prize (or portion thereof) of comparable or greater value, at its sole discretion. All prize details are at the sole discretion of the Sponsor. Sponsor is responsible only for prize delivery and is not responsible for prize utility, quality or otherwise. In the event that any prize component is not available for any reason, then remaining elements of prize shall constitute full satisfaction of Sponsor's prize obligation to any winner and no additional compensation will be awarded.
10. CONDITIONS OF PARTICIPATION
You may submit a photo of yourself when registering for the Competition ("Photo") pursuant to instructions posted on the Website. The Photo must be only of you and you must have the permission of the individual who took the Photo before posting the Photo on the Website. Furthermore, any Photo or other materials you submit to the Website ("Submissions") must be original, truthful and must not otherwise infringe upon any rights of any third party, including but not limited to copyright, trademark, and rights of privacy and publicity. You must have the permission of all persons appearing in your Submission for you to submit your Submission for use by us, as well as the permission of the owner of any private property or residence that you photograph as part of your Submission. By submitting your Submission you grant Sponsor a non-exclusive, royalty-free, perpetual, unrestricted, irrevocable and fully sublicensable right and license (but not the obligation) to consider, disclose, broadcast, use, re-use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, re-distribute, publicly perform and/or display your Submission (in whole or in part or as modified in Sponsor's sole discretion), and the images and likenesses that appear in your Submission (in whole or in part), and/or incorporate all or part of your Submission for use in all media now known or hereafter devised including, without limitation, on any television network of Sponsor, the internet, home video and any promotions for Sponsor. You acknowledge that your consideration for the rights you grant Sponsor in your Submission is, among other things, the possibility of Sponsor's review or use of your Submission. You will not receive any compensation of any kind for your Submission. Your Submission will not be acknowledged, returned or held "in confidence."
By entering or being designated a winner in this Competition, you consent to the use of your name, voice, and likeness, photograph in and in connection with the development, production, distribution and/or promotion of the Competition. Winners agree that from the date of notification by Sponsor of their status as a potential winner and continuing until such time when Sponsor informs them that they no longer need to do so that they will make themselves exclusively available to Sponsor for publicity, advertising and promotion activities, and must agree not to allow interviews by other media outlets, including television, magazines, newspapers, radio and Internet, unless authorized by Sponsor. Sponsor and the Competition Entities reserve the right to make public personal information about the entrants and winner(s), on-air, on the Internet, or otherwise, prior to, during, or following the Competition. All entrants agree to cooperate with any inquiries by Sponsor regarding entrant's participation in Competition and failure to cooperate with Sponsor inquiries may result in disqualification. If Sponsor has any reason, to be determined by Sponsor in its' sole discretion, to conclude that an entrant has behaved inappropriately in any way, including but not limited to cheating or gaining access to information not available to the general public or harassing other entrants, Sponsor may disqualify the entrant. In all disputes, Sponsor is the sole judge and its actions are final and binding. Sponsor may announce any winner's name on-air or on its website.
By entering the Competition, entrants agree to waive any right to claim any ambiguity or error in these Official Rules, or the Competition itself, and agree to be bound by these Official Rules and by all decisions of Sponsor, which are binding and final. Failure to comply with these Official Rules or such other Competition rules and regulations as may be announced by Sponsor from time to time may result in disqualification from the Competition and/or forfeiture of any prize. Sponsor, in its sole discretion, may disqualify any entrant from the Competition, refuse to award Fantasy Points or prizes and require the return of any prizes, if entrant engages in conduct Sponsor deems to be improper, unfair or otherwise adverse to the operation of the Competition or in any way detrimental to other entrants. Improper conduct includes, but is not limited to falsifying personal information required to enter the Competition or claim a prize; violating any of these rules; accumulating points or prizes through unauthorized methods such as automated scripts or other automated means; tampering with the administration of the Competition or trying to in any way tamper with the computer programs associated with this Competition; obtaining other entrants' information and spamming other entrants; and abusing the Competition Website in any way. Entrant further acknowledges that the forfeiture and/or return of any prize shall in no way prevent Sponsor from pursuing criminal or civil proceedings in connection with any such conduct. Further this Competition MAY NOT BE USED FOR ANY FORM OF GAMBLING.
Sponsor reserves the right, in its sole discretion, to modify, cancel, terminate or suspend the Competition and/or these Official Rules with or without notice for any reason including, without limitation, if any viruses, bugs, unauthorized human intervention, fraud, technical failure or any other causes of any kind (including, without limitation, any earthquake, flood, fire, storm or other natural disaster, act of God, labor controversy or threat thereof, civil disturbance or commotion, disruption of public markets, war or armed conflict (whether or not officially declared)) corrupts or affects the administration, security, fairness, integrity or proper conduct of the Competition as determined by Sponsor in its sole discretion.
By entering into this Competition or accepting any prize, entrants, including but not limited to the winner(s), agree to release and to hold harmless Sponsor and the Competition Entities and each of their respective parents, subsidiaries, affiliates and agencies, as well as the officers, directors, employees, shareholders and representatives of any of the foregoing entities (collectively, the "Released Parties") from any and all liability, claims or actions of any kind whatsoever, including, but not limited to, for injuries, damages or losses to persons and property which may be sustained in connection with participation in the Competition, the receipt, ownership, use or misuse of any prize or while preparing for, participating in and/or travelling to or from any prize related activity, and claims based on publicity rights, defamation or invasion of privacy.
The Released Parties are not responsible for any incorrect, invalid or inaccurate entry information; human errors; postal delays/postage due mail; technical malfunctions; failures, including public utility or telephone outages; omissions, interruptions, deletions or defects of any telephone system or network, computer online systems, data, computer equipment, servers, providers, or software (including, but not limited to, software and operating systems that do not permit an entrant to participate in the Competition), including without limitation any injury or damage to any entrant's or any other person's computer or video equipment relating to or resulting from participation in the Competition; inability to access any website, or any web pages of the Sponsor; theft, tampering, destruction, or unauthorized access to, or alteration of, entries and/or images of any kind; data that is processed late or incorrectly or is incomplete or lost due to telephone, postal issues, computer or electronic malfunction or traffic congestion on telephone lines or transmission systems, or the Internet, or any service provider's facilities, or any phone site or website or for any other reason whatsoever; typographical, printing or other errors, or any combination thereof; or any other activity or event of any kind that disrupts or affects the administration, security, fairness, integrity or proper conduct of the Competition. The Released Parties are also not responsible for incomplete, illegible, misdirected or stolen entries. If for any reason the Competition is not capable of running as originally planned, or if the Competition or website associated therewith (or any portion thereof) becomes corrupted or does not allow proper entry into the Competition and the processing of entries in accordance with these Official Rules, or if infection by a computer (or similar) virus, bugs, tampering, unauthorized intervention, actions by entrants, fraud, technical failures, or any other causes of any kind, in the sole opinion of Sponsor corrupts or affects the administration, security, fairness, integrity or proper conduct of the Competition, Sponsor reserves the right, in its sole discretion, to disqualify any individual implicated in such action and/or to cancel, terminate, extend, modify or suspend the Competition, and announce winner(s) from all eligible entries received up to such point in time. If such cancellation, termination, modification or suspension occurs, notification will be posted on the Competition Website.
ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE (INCLUDING THE COMPETITION WEBSITE) OR UNDERMINE THE LEGITIMATE OPERATION OF THE COMPETITION IS A VIOLATION OF CRIMINAL AND/OR CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.
All entries become the property of Sponsor and will not be acknowledged or returned. Winners may be requested to provide Sponsor with proof that the winner is a resident at the address provided on the registration screen and that all eligibility requirements are met. In the event of a dispute as to the identity or eligibility of an entrant or winner based on an e-mail address, the applicable entry will be declared made by the authorized account holder of the e-mail address submitted at time of entry. "Authorized account holder" is defined as the natural person 18 years of age or older who is assigned to an e-mail address by an Internet access provider, on-line service provider or other organization (e.g., business, education institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.
All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of any entrant, Sponsor or the Released Parties in connection with the Competition, shall be governed by and construed in accordance with the laws of the State of New York without giving effect to any choice of law or conflict of law rules or provisions which would cause the application of the laws of any jurisdiction other than the State of New York. If any controversy or claim arising out of or relating to the Competition, the Official Rules, or the breach of any term hereof, cannot be otherwise resolved, it shall be resolved by binding arbitration conducted in the County of New York, and administered by Judicial Arbitration and Mediation Services ("JAMS") in accordance with its Streamlined Arbitration Rules and Procedures or subsequent versions thereof ("the JAMS Rules"). The JAMS Rules for selection of an arbitrator shall be followed, except that the arbitrator shall be an experienced arbitrator licensed to practice law in New York. The decision of the arbitrator shall be binding, final and conclusive and shall not be appealable to any court.
Participation in the Competition must be made only as specified in these Official Rules. Failure to comply with these Official Rules will result in disqualification and, if applicable, prize forfeiture.
The failure of Sponsor to comply with any provision of these Official Rules due to an act of God, hurricane, war, fire, riot, earthquake, terrorism, act of public enemies, actions of governmental authorities outside of the control of Sponsors (excepting compliance with applicable codes and regulations) or other force majeure event will not be considered a breach of these Official Rules.

Information supplied by entrants will be shared by Sponsor in accordance with its privacy policy, which is posted at the Website.
